By creating a https://codigrade.com account, you are agreeing to be bound by these terms and conditions between you and Codigrade. If you do not agree to these terms, you must not use our web platform. We recommend that you print a copy of these terms for future reference.
Codigrade reserves the right to update and change the Terms of Service. We will notify you about such changes via email. Continued use of the service after any such change shall constitute your consent.
Codigrade may update and change its web platform from time to time to reflect changes to its products,
its users' needs, and its business priorities. We will try to give you reasonable notice of any major
changes.
Codigrade shall not be liable to you or to any third party for any modification, price change,
suspension, or discontinuance of its service.
You expressly understand and agree that Codigrade shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if Codigrade has been advised of the possibility of such damages), resulting from your use of this service.
(i) You must be 13 years or older to use this service.
(ii) You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
(iii) You are responsible for maintaining the security of your account and password.
(iv) You are responsible for all activity that occurs under your account, including the creation of
assessments, the creation of custom tests, and your communication with our customer support.
(v) Codigrade may contact you about your account or updates to our service at any point.
(vi) We will never sell your contact information.
(i) When subscribing to a paid plan, going forward and until you cancel it, you will be charged at the
beginning of each month according to the fixed monthly plan you choose.
(ii) Invoices are due immediately.
(iii) You may cancel your subscription at any time. Cancelling implies you keep your advantages until the
end of the month and will not be charged for the following months. Your account will be downgraded to our
free plan.
(iv) If we cannot charge your credit card, and you do not provide a working replacement within 30 days, we
will temporarily downgrade your account to the free plan. We may downgrade your account earlier than that if
your account shows excessive usage patterns and you are not responsive via email.
(v) We may make changes to our pricing in the future. Your current subscription price will not be affected
by such changes.
(i) Generally, there are no refunds. Our free plan allows our customers to test our product risk-free.
Therefore, we consider that upgrading to a paid plan is always an informed decision by the customer.
(ii) If you would still like a refund, please explain your problems to us in detail. We will make exceptions
on a case-by-case basis.
Any solutions, products, or intellectual property developed by Codigrade for your specific use case or requirement, including but not limited to extended solutions and proof-of-concept (PoC) products, shall remain the sole property of Codigrade, and we reserve the right to redistribute and reuse such solutions or products as we see fit. By engaging us to provide solutions or products for a specific use case or requirement, you agree to the terms of this clause and acknowledge that you have no claim or ownership over any solutions, products, or intellectual property developed by Codigrade in the course of delivering the requested solution or product.
If a provision of this Agreement is or becomes illegal, invalid, or unenforceable in any jurisdiction, that
shall not affect:
(i) The validity or enforceability in that jurisdiction of any other provision of this Agreement; or
(ii) The validity or enforceability in other jurisdictions of that or any other provision of this Agreement.
(iii) Invalid provisions shall be replaced by valid ones that are as close as possible to the originals.
The legal jurisdiction for any disputes under this agreement is Paris, France.
